Terms of Service

1. Definitions
For the purposes of these Terms of Service (the "Terms"):
- "waseller", "we" or "the Platform": the service operated under the commercial brand "waseller.mx" by JAVIER ISMAEL NABTE AKE, an individual under the Simplified Trust Regime (RESICO), domiciled in Mérida, Yucatán, Mexico, ZIP 97314, Tax ID NAAJ970805KB6.
- "User", "Customer" or "you": any individual or legal entity that registers and/or uses the Platform.
- "Service": the provision of resold access to the WhatsApp API through the provider WasenderApi, including the management dashboard, n8n integrations, multi-agent CRM, conversation storage, bot automation and other features available from the waseller dashboard.
- "Underlying Provider": WasenderApi, the official WhatsApp Business API provider with whom waseller maintains an authorized reseller agreement.
- "Subscription": the recurring contracting of the Service under the plans and prices published at waseller.mx/precios.
2. Acceptance of terms
By registering, contracting a plan or using any feature of the Service, you declare that you have read, understood and accepted these Terms and our Comprehensive Privacy Notice. If you disagree, you must not use the Service.
If you act on behalf of a legal entity, you represent that you have sufficient authority to legally bind it.
3. Description of the service
waseller is an authorized reseller of the WhatsApp Business API through WasenderApi. waseller is NOT Meta Platforms Inc., is NOT officially affiliated with WhatsApp, and does NOT replace the official provider.
The Service includes:
- Provisioning and connection of WhatsApp Business numbers
- Access to API credentials for integration with n8n or other tools
- Multi-agent CRM to manage conversations
- No-code bot builder
- Workflow templates for n8n
- Technical support via the dashboard's internal chat
waseller reserves the right to modify, add or remove features of the Service at any time, notifying the User at least 15 calendar days in advance when such modifications significantly impact the operation of the contracted Service.
4. User account
To use the Service you must create an account. You agree to:
- Provide truthful, complete and up-to-date information
- Keep your password and credentials confidential
- Immediately report any unauthorized use of your account
- Be responsible for all activity carried out from your account
waseller may suspend or cancel accounts with false information or where fraudulent usage patterns are detected.
5. Subscription and payments
5.1 Payment processor:All payments are processed through Stripe, Inc. By contracting you accept Stripe's terms (https://stripe.com/legal). waseller does not store full card data on its servers.
5.2 Recurring billing: Subscriptions are billed monthly or annually depending on the chosen plan, in Mexican pesos (MXN). Billing is automatic on the contracting anniversary date.
5.3 No refunds for partial months: Once a billing period has started, NO partial refunds are issued for early cancellation, voluntary suspension or lack of use. The Service remains active until the end of the paid period.
5.4 Price increases:waseller may adjust Service prices with at least 30 calendar days' notice. Increases apply to the next billing cycle.
5.5 Non-payment: If a charge fails, waseller will notify the User and grant a grace period of 7 calendar days. After that period without regularizing payment, the associated numbers will be suspended. After 30 days in suspension, the account and its associated data may be permanently deleted.
5.6 Add-ons and usage: Some components (broadcasts, AI tokens, additional storage) are billed by usage or as recurring add-ons according to the rates published at waseller.mx/precios.
6. Usage prohibitions
As an essential condition of the Service, the User agrees NOT to use the Platform to:
- Send spam, unsolicited messages or messages not expressly authorized by the recipient
- Run campaigns that violate the WhatsApp Business Policy (https://www.whatsapp.com/legal/business-policy/) or the WhatsApp Business Messaging Policy
- Distribute illegal, defamatory, obscene, violent, terrorist content, child pornography or content that infringes third-party rights
- Carry out phishing, fraud, identity theft or scams
- Sell prohibited products or services (illegal drugs, unregulated weapons, counterfeit goods, etc.)
- Automate messages for the purpose of harassment or abuse
- Circumvent usage quotas, technical limits or security measures of the Platform
- Resell, assign or sublicense the Service without prior written authorization from waseller
- Reverse engineer, decompile or attempt to access the source code of the Service
Breach of any of these prohibitions may result in immediate suspension of the Service, without refund, and eventual reporting to the competent authorities and/or Meta.
7. Suspension for breach
waseller may suspend or cancel access to the Service, in whole or in part, without prior notice, when:
- Usage that infringes these Terms or the WhatsApp Business Policy is detected
- WasenderApi or Meta require deactivation of the number or account
- There are overdue debts
- Formal complaints of spam or abuse are received from third parties
- It is required by a competent authority
After a suspension, the User may contact support to review the case. waseller reserves the final right of reactivation.
8. Intellectual property
8.1The "waseller" brand, the waseller.mx domain, the Platform software, designs, content and other elements are the exclusive property of JAVIER ISMAEL NABTE AKE or its licensors.
8.2The User retains ownership of the content, messages and data they upload or transmit through the Service ("User Content"), and grants waseller a limited, non-exclusive, worldwide, royalty-free license solely to process such content within the provision of the Service.
8.3"WhatsApp" is a registered trademark of Meta Platforms, Inc. waseller is not officially affiliated with Meta.
9. Limitation of liability
9.1 The Service is provided "AS IS"and "as available". waseller does NOT guarantee:
- Uninterrupted, error-free or delay-free availability (availability depends on Meta, WasenderApi and the public Internet)
- That messages will be delivered in real time or will not be blocked by WhatsApp/Meta
- That a number will not be banned by Meta for reasons outside waseller's control
- Specific commercial results derived from use of the Service
9.2 To the maximum extent permitted by applicable law, waseller, its shareholders, officers, employees and agents will NOT be liable for:
- Indirect, incidental, consequential, punitive damages or lost profits
- Loss of data, contacts, conversations or revenue
- Interruptions or failures of the Underlying Provider (WasenderApi)
- Meta actions on the numbers (bans, restrictions, policy changes)
- Misuse of the Service by the User or third parties with access to their account
9.3waseller's total aggregate liability to the User for any claim arising from the Service is limited to the amount actually paid by the User in the 3 (three) months immediately preceding the event giving rise to the claim.
10. Indemnification
The User agrees to indemnify, defend and hold harmless waseller, its shareholders, officers, employees and agents from any claim, demand, damage, loss or expense (including reasonable attorneys' fees) arising from:
- Their breach of these Terms or of the WhatsApp Business Policy
- Content transmitted or published through the Service
- Infringement of third-party rights (intellectual property, privacy, etc.)
- Use of the Service by their agents, employees or representatives
11. Modifications to the service and the terms
waseller may modify these Terms at any time. Changes will be notified by email and/or in the dashboard, at least 15 calendar days before they take effect.
Continued use of the Service after the effective date constitutes acceptance of the new Terms. If you disagree, you must cancel your subscription before the effective date.
12. Termination
12.1 By the User: You may cancel your subscription at any time from the dashboard. The Service will remain active until the end of the paid period.
12.2 By waseller:We may terminate your account with 30 days' prior notice for commercial reasons, or immediately for serious breach (sections 6 and 7).
12.3 Effects of termination: Upon termination:
- Access to the dashboard, numbers, conversations and configurations is lost
- Data may be retained for up to 90 days for legal compliance purposes and then permanently deleted
- Outstanding payment obligations survive
13. Governing law and jurisdiction
These Terms are governed by the laws of the United Mexican States.
For interpretation and performance, both parties expressly submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that may correspond to them by reason of present or future domicile.
As a measure prior to judicial proceedings, the parties may submit disputes to PROFECO when they involve consumer relations under the Federal Consumer Protection Law.
